General Terms and Conditions of the Offer

1. Purpose
   This contract (offer or quotation) includes the provision of audiovisual and scenic design solutions for corporate events, in accordance with the specifications detailed in the attached proposal. 
2. Geographical Scope
   Our services are primarily provided in Spain, with the possibility of offering them occasionally in other countries. For services rendered outside of Spain, a specific agreement will be established. 
3. Price and Payment Terms
   The order will be considered confirmed by AV MEDIOS only when a written order confirmation is issued and sent to the CLIENT. The price stated in the quotation will be binding provided the CLIENT has specified the exact setup, operation, and dismantling period, and has provided all necessary information, such as layout plans and attendee distribution. 

   The total price of the services is specified in the attached quotation, excluding applicable VAT. 

   The payment method will be the one agreed upon in the offer. In case of late payment, a late interest fee of 2% per month will be applied to the outstanding amount.

4. Modifications and Changes
   We understand that needs may change during the different phases of event preparation. Therefore, any modifications must be notified in writing. If this implies a revision of the quotation, we will immediately inform the CLIENT of the financial impact.
   We reserve the right to adjust prices in case of significant changes in the cost of materials or third-party services. Additionally, if working hours exceed those outlined in the quotation at the CLIENT’s request, an overtime charge will be applied and included in the final quotation. 
5. Substitution and Subcontracting
   To ensure the best service, AV MEDIOS reserves the right to replace any equipment or materials with others of equivalent or superior performance without prior notice and to subcontract qualified freelance staff or technical teams when deemed necessary. 
6. Cancellations
   If cancellation of the service is required, we appreciate being notified in writing as soon as possible. Cancellation penalties will be as follows:
   24 hours before setup begins: 100% of the total quotation.48 hours before setup begins: 75% of the total quotation.

   72 hours before setup begins: 50% of the total quotation.

   The CLIENT will also be responsible for any expenses incurred by AV MEDIOS in preparation for providing the contracted service.

    

7. Liability
   We commit to delivering the services with the utmost diligence and professionalism. However, we shall not be held responsible for delays or non-fulfillment due to force majeure or circumstances beyond our control.
   The contracted equipment must be used exclusively for its intended purpose and only by authorized personnel. In the case of misuse, loss, or theft of any material (including simultaneous translation equipment, clickers, etc.) during the event, the CLIENT will bear the full cost of replacement or repair.

   The CLIENT agrees to ensure that the event space will be available, accessible, and free of obstacles during the specified period. It must also be properly prepared, including adequate electricity supply, suitable internet for streaming, air conditioning, and security. The CLIENT will handle all necessary permits and licenses in advance and notify AV MEDIOS of any applicable regulations related to the venue that may affect service delivery.

8. Intellectual Property 

   All audiovisual and scenic materials provided by our company are the property of AV Medios or our suppliers and are protected under intellectual property laws. Ownership of these items is not transferred to the CLIENT, nor is access to source codes or 3D models provided.The CLIENT agrees not to reproduce, modify, or distribute such materials without our prior written consent.

   Scenic design pieces are rented, not sold. They are designed for single use, and their condition is not guaranteed if reused. AV MEDIOS is not obliged to store rented decoration materials once the event concludes. If the CLIENT wishes to keep the material, this must be specified upon accepting the offer so that storage can be included in the quotation.

9. Confidentiality
   Both parties agree to maintain confidentiality regarding all commercial and technical information exchanged under this offer.
10. Jurisdiction and Applicable Law
    These terms shall be governed by and interpreted in accordance with Spanish law. For the resolution of any disputes arising from this offer, the parties submit to the jurisdiction of the courts of Madrid.
11. Acceptance of Terms
    Acceptance of the quotation implies acceptance of these general terms and conditions.
